These terms outline the minimum order requirements, wholesale discounts, payment, production, customization, shipping, and brand guidelines applicable to wholesale cooperation with POEM.
During the first month of cooperation, wholesalers must reach a minimum total order value of 100,000,000 VND.
From the following month onward, wholesalers must maintain a minimum monthly order value of 70,000,000 VND to retain their active wholesale status.
Monthly order value is calculated based on the total value of successfully confirmed and paid wholesale orders placed within the applicable calendar month.
If the required minimum is not achieved, POEM reserves the right to review the wholesaler’s discount eligibility and commercial terms from the beginning of the following month.
Wholesale discounts are calculated according to the total confirmed monthly order value.

During the first month, wholesalers will pay the local price for each order. Once the total monthly order value reaches an eligible discount tier, the applicable discount amount will be transferred to the wholesaler or credited toward the next order.
From the following month onward, the applicable discount may be applied directly to each order based on the agreed wholesale tier and the wholesaler’s purchasing performance.
The minimum monthly order value of 70,000,000 VND maintains wholesale eligibility. Published volume discounts begin when monthly orders reach 100,000,000 VND, unless otherwise agreed in writing by POEM.
A wholesale order is considered confirmed only after POEM has received 100% of the total order value.
Production will not commence until the payment has been successfully received and verified.
Payment instructions and bank account information will be provided through the official invoice or order confirmation issued by POEM.
Payments made through PayPal are subject to an additional 10% processing surcharge.
Bank charges, currency conversion charges, intermediary fees, and any other transaction costs imposed by financial institutions must be borne by the wholesaler.
Confirmed wholesale orders cannot be cancelled. Requests for order changes are governed by POEM’s Wholesale Return & Exchange Policy.
Production time varies depending on the product, order quantity, design complexity, material availability, and current production capacity.
The estimated production time for each product will be stated in the applicable product list, quotation, or order confirmation.
Production time begins from the date on which POEM receives and verifies full payment for the order.
Production estimates exclude Sundays and public holidays in Vietnam.
Wholesalers are responsible for considering order processing, production, and shipping time when advising their customers or planning retail launches.
POEM will make reasonable efforts to complete all orders within the confirmed timeframe. If an unforeseen delay occurs, the wholesaler will be notified as soon as reasonably possible.
POEM generally does not encourage alterations that may affect the original silhouette, structure, construction, or design integrity of a product.
Requests for moderate customization must be submitted before order confirmation and are subject to review and written approval by POEM.
Additional charges, minimum quantities, material requirements, and revised production timelines may apply to customized products.
The production timeframe for an approved customization order must be separately agreed upon by both parties.
Customized products cannot be returned or exchanged unless POEM confirms a manufacturing defect or a material difference from the approved customization details.
POEM will cover the transportation cost from its warehouse to the designated shipping carrier within Vietnam.
All shipping costs from Vietnam to the destination country must be borne by the wholesaler unless otherwise agreed in writing.
The wholesaler is responsible for customs duties, import taxes, VAT, brokerage fees, destination charges, local delivery fees, and any other costs imposed outside Vietnam.
Delivery estimates are provided for reference only. POEM is not responsible for delays caused by customs procedures, local regulations, courier disruptions, or circumstances beyond its reasonable control.
Wholesalers are responsible for providing accurate and complete recipient, shipping, and contact information before dispatch.
Claims relating to missing, incorrect, damaged, or defective products must be submitted in accordance with POEM’s Wholesale Return & Exchange Policy.
To maintain fair competition and consistent brand positioning, wholesalers must not advertise or sell POEM products below the global retail price stated in the official price list.
Promotional campaigns, markdowns, bundles, or special retail prices involving POEM products require prior written approval from POEM.
If a wholesaler is found to be deliberately undercutting the approved retail price, POEM reserves the right to suspend wholesale privileges or terminate the cooperation.
Wholesalers must not remove, replace, cover, alter, or reproduce any POEM label, tag, packaging element, logo, or brand identifier attached to the products.
POEM products may not be copied, reproduced, modified, reverse-engineered, or used as references for unauthorized self-production.
All product designs, photographs, videos, graphics, logos, text, and branding materials remain the intellectual property of POEM and may not be used commercially without prior written permission.
Any infringement may result in immediate termination of cooperation and responsibility for losses or damages incurred by POEM.
By confirming and paying for a wholesale order, the wholesaler acknowledges that they have read, understood, and accepted these Wholesale Terms & Policies.
POEM reserves the right to review or update these terms when reasonably necessary. The applicable version will be the version provided or published at the time the order is confirmed.
These terms are governed by and interpreted in accordance with the laws of Vietnam.
Any dispute must first be addressed through good-faith negotiations between the parties. If no resolution can be reached, the dispute will be subject to the jurisdiction of the competent courts of Vietnam.
